About these terms
This website is operated by NEXA Distribution ("NEXA", "we", "us"). By using nexadistribution.com you agree to these terms and to our Privacy policy. If you do not agree, please do not use the site.
Wholesale customers only
The products and pricing described on this site are offered to retailers and other trade buyers purchasing for resale. Wholesale accounts are available to businesses only, and we may ask for proof of business status before opening an account. Pricing is provided on application and may change without notice.
Orders and ordering platforms
Orders can be placed through an independent NEXA sales representative, through MarketTime or through the NEXA Portal. Orders placed through MarketTime or the NEXA Portal are also subject to the terms of those platforms and to the account terms you agree to when your wholesale account is opened. Nothing on this site is an offer to sell; an order is accepted only when we confirm it. Product availability, specifications and prices may change at any time.
Brand submissions
When you submit a brand through the Sell with us form, you confirm that you have the right to share the information provided and that it is accurate. Submissions are not confidential unless we agree otherwise in writing. We are not obliged to respond to every submission or to enter into a distribution relationship.
Content and intellectual property
The text, images, design and the NEXA name and wordmark on this site belong to NEXA or are used with permission. Brand names and logos shown on the site belong to their respective owners. You may view and print pages for your own business use, but you may not copy, reproduce or redistribute site content without our written permission.
Acceptable use
You agree not to misuse the site. That includes attempting to gain unauthorised access, introducing malicious code, scraping or bulk-copying content, submitting false or misleading information through our forms, or using the site in any way that breaks the law.
Third-party sites
The site links to platforms and websites run by other companies, such as MarketTime and the websites of the brands we distribute. We are not responsible for the content, availability or privacy practices of those sites.
Disclaimer
The site is provided "as is". We work to keep information accurate and current, but we do not guarantee that the site will be error-free, uninterrupted or free of harmful components, or that product information is complete. Product details and availability are confirmed when an order is accepted.
Limitation of liability
To the fullest extent permitted by law, NEXA is not liable for any indirect, incidental or consequential loss, including lost profits or lost sales, arising from your use of the site or your reliance on its content. Nothing in these terms limits any liability that cannot be excluded by law. The terms of your wholesale account agreement govern orders, deliveries and returns.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Where you deal with our U.S. operation in Medina, New York, the laws of the State of New York apply instead. Any dispute will be heard by the courts of the applicable jurisdiction.
Changes to these terms
We may revise these terms from time to time. The date at the top shows when they were last updated. Continued use of the site after a change means you accept the revised terms.
